01 Agreement
These Terms of Service ("Terms") govern your use of the Code Indexer software ("Software") and the codeindexer.dev website. By creating an account, purchasing a subscription, or otherwise using the Software, you agree to these Terms. If you act on behalf of a company, you represent that you have authority to bind it.
02 Related policies (incorporated by reference)
These Terms must be read together with the following policies, which form part of this agreement: Privacy Policy, Acceptable Use Policy, Refund & Cancellation Policy, Service Level Agreement, Cookie Policy, Sub-processors, and — for Enterprise customers — the Data Processing Agreement.
03 Subscription plans
Code Indexer is offered under four plans: Free (no payment, limited to a published number of indexed projects and per-project quotas), Pro (paid, per seat, unlimited projects and Pro features), Security (paid, per seat, everything in Pro plus deep audit, supply-chain scanning, compliance mapping, and related tooling), and Enterprise (custom, per order form, with on-premise deployment, personal integration support, and negotiated terms). Current features, prices, and limits are published on Pricing. We may change plan composition and limits prospectively; subscriptions already paid for are unaffected for the remainder of the paid period.
04 Self-hosted nature
The Software runs entirely on your infrastructure. We do not host, process, or have access to your source code, indexed content, embeddings, or AI queries. You are solely responsible for your own backups, network security, and regulatory compliance applicable to the data you process.
05 Account and access
You are responsible for the accuracy of registration information, the confidentiality of your account credentials, and all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorised access.
06 Acceptable use
Your use of the Software and website is subject to our Acceptable Use Policy. Violations may result in warnings, suspension, or termination as set out in the AUP.
07 Fees, billing, taxes
Paid plans are billed monthly or annually in USD (Enterprise may be invoiced in EUR or USD per order form). Annual plans receive the discount published on Pricing. NetTechnologys s.r.o. is registered for Czech VAT; VAT number: CZ27156991. VAT is applied where required by law in accordance with EU place-of-supply rules; see the Legal Notice for full company and tax details. Payment processing is handled by Stripe Payments Europe (see Sub-processors); we do not store full card numbers on our systems.
08 Refunds and cancellation
Refund eligibility and cancellation procedures are described in our Refund & Cancellation Policy, which prevails over any general "non-refundable" language elsewhere. Statutory consumer rights under EU/EEA law (including the 14-day right of withdrawal) are not affected by these Terms.
09 Service availability
Availability targets and remedies for the license server and account dashboard are set out in the Service Level Agreement. The Software itself runs on your infrastructure and is not subject to a hosted-service SLA.
10 Customer data and privacy
How we handle personal data on the website (account, billing, support) is described in the Privacy Policy. Enterprise customers are offered our Data Processing Agreement. Because the Software is self-hosted, your code and indexed content never reach our servers — we have no technical ability to access them and do not use them for any purpose, including model training, analytics, or product improvement.
11 Intellectual property
The Software, including all binaries, source code of paid components, documentation, trademarks, and the codeindexer.dev website, is the intellectual property of NetTechnologys s.r.o. and its licensors. We grant you a non-exclusive, non-transferable, non-sublicensable right to use the Software for the duration of your active subscription, on the plan you purchased, subject to these Terms. All rights not expressly granted are reserved. Customer data — your source code, configurations, and any data you process with the Software — remains your property; we claim no licence over it.
12 Confidentiality
Each party will protect the other party's non-public information disclosed under or in connection with these Terms using at least the same care it uses for its own confidential information. This obligation does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known, or is independently developed.
13 Warranties and disclaimer
THE SOFTWARE AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Nothing in this section excludes or limits liability that cannot be excluded or limited under applicable law (including mandatory consumer protections under EU/EEA law).
14 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Nothing in this section limits liability for gross negligence, wilful misconduct, or any liability that cannot be excluded under applicable law.
15 Indemnification
You will defend and indemnify us against third-party claims arising from your misuse of the Software, your violation of the AUP, or your violation of applicable law. We will defend and indemnify you against third-party claims that your authorised use of the Software infringes the intellectual property rights of a third party, subject to you giving us prompt written notice and reasonable cooperation. Indemnification is the exclusive remedy for IP-infringement claims.
16 Term and termination
These Terms apply for as long as you use the Software or have an active subscription. You may cancel a paid subscription at any time per the Refund & Cancellation Policy; access continues to the end of the paid period. We may suspend or terminate your subscription for material breach after written notice and a reasonable cure period (where the breach is curable), or immediately for egregious or unlawful conduct. On termination: license rights cease; outstanding undisputed fees become due; sections on intellectual property, confidentiality, disclaimer, limitation of liability, indemnification, and governing law survive.
17 Force majeure
Neither party is liable for delay or failure to perform caused by events outside its reasonable control — including but not limited to natural disasters, government action, war, civil unrest, labour disputes, internet backbone failures, or upstream provider outages — provided the affected party uses reasonable efforts to mitigate the impact.
18 Changes to these Terms
We may update these Terms from time to time. Material changes will be announced at least 30 days in advance by email to the billing contact (for paid customers) and through prominent notice in the account dashboard. Continued use of the Software or website after the effective date constitutes acceptance. If you do not accept a material change, you may terminate your subscription before it takes effect and receive a prorated refund for the unused period.
19 Governing law and disputes
These Terms are governed by the laws of the Czech Republic, without regard to its conflict-of-laws rules. The courts of the Czech Republic have exclusive jurisdiction, subject to mandatory consumer-protection rules that grant EU/EEA consumers the right to bring proceedings in their country of residence. EU consumers may also use the European Commission Online Dispute Resolution platform (linked from our Legal Notice); we are not obligated to participate in consumer-arbitration proceedings.
20 Severability and entire agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. These Terms, together with the policies listed above and any order form signed with NetTechnologys s.r.o., constitute the entire agreement between you and us regarding the Software and supersede any prior agreements on the same subject matter.
